Terms of Service
These terms are an agreement between you and OmniQ Labs Private Limited ("OmniQ Labs", "we", "us") for your use of ThoughtsUPP — the app at thoughtsupp.com and app.thoughtsupp.com, its WhatsApp messaging, and this website (together, the "Service"). By creating an account or using the Service you agree to them. Please also read our Privacy Policy, which explains how we handle your data.
In short. ThoughtsUPP helps you turn a thought into a plan and carry it to done. Everything it shows you is either real (sourced live and attributed) or clearly marked as a draft. It never sends a message, books or pays anything on your behalf without your explicit tap. You own your content. The Service is currently a development preview and may change.
1. Eligibility and your account
You must be at least 18 years old (or the age of majority where you live) to use the Service. You sign in with Google or with a one-time code sent to your WhatsApp number. Keep your sign-in method secure; you are responsible for activity under your account. Give us accurate information and keep it current.
2. Development preview
The Service is provided as a development preview. Features may be added, changed or removed, data may occasionally need to be reset, and availability is not guaranteed. We will tell you before any change that materially reduces what you can do or affects your data.
3. What the Service does, and does not do
- Honesty of information. Places, prices, times and other real-world facts shown in the Service come from third-party sources and are attributed to them. Where real data is not available, the Service shows an indicative estimate or a draft and labels it as such. Always confirm details with the provider before relying on them.
- Messages you send. The Service can draft a message to a vendor or contact and, only when you tap Send on that message, deliver it on WhatsApp from our business number in your name. You are the sender and are responsible for its content. Replies are shown to you as the other party's own words; nothing in your plan changes until you choose.
- No bookings or payments. The Service does not book, purchase or pay for anything on your behalf. Links to third-party booking or shopping sites take you to those sites, whose own terms apply.
- AI-generated content. Suggestions, drafts, plans, images and summaries are generated by AI systems and may be incomplete or wrong. They are provided to help you decide, not as professional, legal, medical or financial advice.
4. Your content
You own the thoughts, text, photos and other content you put into the Service. You give us a licence to store, process, display and transmit it as needed to provide the Service to you and to the people you share it with, and to generate the AI outputs you ask for. We will not use your private content to train or fine-tune AI models without your opt-in consent. When you delete content or your account, the licence ends, except for copies in routine backups for up to 90 days and anything we must keep by law.
5. Sharing and groups
When you share a thought or join a group, the members of that group can see what is shared and may add to it under the rules the owner sets. Share only what you are comfortable sharing, and only with people you trust. You are responsible for content you post to a group.
6. Acceptable use
Do not use the Service to send unsolicited, deceptive, abusive or unlawful messages; to impersonate anyone; to collect other people's personal data without their consent; to infringe anyone's rights; to attempt to access systems or data you are not authorised to access; or to interfere with the Service. Messages sent through our WhatsApp number must also comply with Meta's WhatsApp Business messaging policies. We may limit, suspend or close accounts that break these rules.
7. Third-party services
The Service uses third-party providers including Meta (WhatsApp Business Platform), Google (sign-in, maps and places), Amazon Web Services (hosting) and AI model providers. Their availability and terms are outside our control, and features that depend on them may be unavailable from time to time.
8. Fees
The Service is currently free. If we introduce paid features we will tell you the price and get your agreement before charging you.
9. Intellectual property
The Service, including its software, design, the ThoughtsUPP and OmniQ names and logos, and the patent-pending thought-classification framework, belongs to OmniQ Labs and its licensors. These terms do not give you any rights in them beyond using the Service as intended.
10. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement, to the extent permitted by law. We do not warrant that the Service will be uninterrupted or error-free, or that any information it shows is accurate or complete.
11. Limitation of liability
To the extent permitted by law, OmniQ Labs will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us for it in the twelve months before the claim, or INR 5,000 if you paid nothing. Nothing in these terms limits liability that cannot be limited by law.
12. Ending the agreement
You can stop using the Service and delete your account at any time in the app or by writing to us. We may suspend or end your access if you break these terms or if we discontinue the Service, giving you notice where reasonably possible. Sections 4, 9, 10, 11 and 14 survive termination.
13. Changes to these terms
We may update these terms. We will post the new version here with a new effective date and, for material changes, tell you in the app. Continuing to use the Service after a change means you accept it.
14. Governing law and disputes
These terms are governed by the laws of India. Courts in Bengaluru, Karnataka have exclusive jurisdiction, subject to any rights you have under the consumer-protection laws of the country where you live. Before going to court, please write to us so we can try to resolve the issue.
